Welcome to Nexpend, a product of Overflow LLC. By accessing or using our website and services at nexpend.com ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Definitions

"Nexpend," "we," "us," or "our" refers to Overflow LLC, the operator of the Nexpend platform. "You" or "User" refers to any individual or entity accessing or using the Service. "Subscription Data" refers to the information you enter into the Service about your recurring payments.

2. Account Registration

You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell, sublicense, or redistribute access to the Service
• Upload malicious code or content that could harm the Service or other users

4. Subscription Plans & Billing

Nexpend offers free and paid plans. Paid plans are billed on a recurring basis (monthly or yearly) as selected at the time of purchase. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

4.1 Free Plan

The free plan allows limited usage of the Service. We reserve the right to modify the features and limits of the free plan at any time.

4.2 Paid Plans

Paid plan pricing is displayed on our website and is subject to change. We will provide reasonable notice of any price changes. Prices are exclusive of taxes unless stated otherwise.

4.3 Cancellation & Refunds

You may cancel your paid subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial billing periods. We do not provide prorated refunds.

5. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Nexpend and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any Subscription Data you enter into the Service.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

7. Service Availability & Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nexpend is a subscription tracking tool for personal informational purposes. It does not provide financial advice. We do not guarantee the accuracy of exchange rates, calculations, or any data displayed. You should verify all financial information independently.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Nexpend and its owners, operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $50 USD, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nexpend and its owners, operators, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service or violation of these Terms.

11. Account Termination

We may suspend or terminate your account at our sole discretion if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason. Upon termination, your right to use the Service ceases immediately. We are not obligated to retain your data after termination.

12. Third-Party Services

The Service may integrate with or link to third-party services (such as payment processors and authentication providers). We are not responsible for the practices of any third-party services. Your use of third-party services is governed by their own terms and policies.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
